Article 1. Agreement to Terms

Section titled 1.1 Acceptance of TermsBy accessing, using, or interacting with the services provided by Coinlake (“Services”), you unequivocally agree to be bound by these Terms of Service (“Terms”) and our accompanying Privacy Policy, both of which govern your relationship with Coinlake and your use of the Services. These Terms constitute a legally binding agreement between you (the “User” or “you”) and Deepmarker Pte Ltd, the owner and operator of Coinlake (the “Company,” “we,” “us,” or “our”). If at any time you do not agree with any part of the current version of the Terms, you must immediately stop using the Services.
1.2 Legal Authority
Section titled 1.2 Legal AuthorityBy using the Services, you affirm that you are of legal age to enter into a binding contract in the jurisdiction where you reside or from which you access the Services. You must be at least 18 years old to use the Services. Furthermore, you affirm that you are not under any legal disability or contractual restriction that prohibits you from entering into these Terms.
1.3 Changes to the Terms
Section titled 1.3 Changes to the TermsCoinlake reserves the right, at its discretion, to revise, modify, or update these Terms at any time. Such amendments will be effective upon posting of the updated Terms on the Coinlake website or notifying you by other means. Your continued use of the Services after such posting or notification constitutes your acceptance of the revised Terms. It is your responsibility to regularly review these Terms.
1.4 Entire Agreement
Section titled 1.4 Entire AgreementThese Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by Coinlake on the platform, shall constitute the entire agreement between you and Coinlake concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms, which shall remain in full force and effect.
1.5 No Waiver
Section titled 1.5 No WaiverNo waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Coinlake’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
1.6 Electronic Communications
Section titled 1.6 Electronic CommunicationsBy using the Services and providing your information to Coinlake, you consent to receive electronic communications from Coinlake concerning your use of the Services. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that Coinlake sends you electronically will satisfy any legal communication requirements, including that such communications be in writing.
Article 2. Scope of Services

Section titled 2.1 Services ProvidedCoinlake, operated by Deepmarker Pte Ltd, provides access to various data services, which are specifically designed to supply historical order book data from multiple cryptocurrency exchanges. These services may also include but are not limited to market screener tools, API access, and related functionalities that facilitate the analysis and management of market data.
2.2 Permitted Use
Section titled 2.2 Permitted UseThe Services provided by Coinlake are intended solely for lawful purposes. You, as the User, are permitted to use the Services for activities such as research, analysis, and the development of private trading strategies. Any use of the Services should comply with all applicable laws, regulations, and generally accepted practices or guidelines in the relevant jurisdictions.
2.3 Prohibited Activities
Section titled 2.3 Prohibited ActivitiesIn order to maintain the integrity and security of the Services and its users, the following activities are explicitly prohibited:
- Unauthorized Redistribution: You may not redistribute, share, or publish any data obtained from the Services without the explicit written permission of Coinlake. This includes any form of reproduction, distribution, public performance, or public display.
- Unlawful Activities: You are prohibited from using the Services for any unlawful activities, which include but are not limited to hacking, unauthorized access to systems, infringement of intellectual property rights, or any other activity that violates applicable laws and regulations.
- Disruption of Services: You must not engage in any activities that could damage, disable, overburden, or impair the functioning of the Services or any related network or systems. This includes the introduction of viruses, worms, or other malicious code that may disrupt or damage the Services or others’ use of the Services.
2.4 Compliance with Policies
Section titled 2.4 Compliance with PoliciesYou agree to comply with all policies and guidelines established by Coinlake pertaining to the use of the Services, as these may be updated from time to time. It is your responsibility to understand and adhere to all such policies.
2.5 Modifications to Services
Section titled 2.5 Modifications to ServicesCoinlake reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that Coinlake shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
2.6 Data Accuracy and Availability
Section titled 2.6 Data Accuracy and AvailabilityCoinlake endeavors to provide accurate and up-to-date data but does not guarantee the accuracy, completeness, or timeliness of the data provided through the Services. The availability and functionality of the data depend on various factors, including the reliability of data sources and network conditions.
2.7 Coinbase Market Data License Restrictions
Section titled 2.7 Coinbase Market Data License RestrictionsTo comply with our data provider policies, particularly those of Coinbase, which is a significant source of the market data we offer, users are subject to additional restrictions. By using any data product that includes data sourced from Coinbase, you acknowledge and agree to the following:
- You shall not use such data to create any financial products, including but not limited to indexes, fixings, or benchmarks.
- The data provided remains the property of Coinbase, and no rights are granted in any trademarks or service marks of Coinbase.
- Coinbase reserves the right to modify or remove any of its data at any time, and Coinlake is not responsible for any such changes.
- Changes to Coinbase’s terms will be accepted by Coinlake, and you are bound by such changes as well.
- It is your responsibility to review and agree to Coinbase’s terms and conditions prior to ordering any data product that uses Coinbase as a source.
Article 3. User Responsibilities
Section titled Article 3. User Responsibilities3.1 Account Security
Section titled 3.1 Account Security- Account Integrity: You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any other authentication information. You are also responsible for all activities that occur under your account, whether authorized by you or not. Coinlake is not liable for any loss or damage arising from your failure to comply with these security obligations.
- Notification of Breach: You must immediately notify Coinlake of any unauthorized use of your account or any other breaches of security. Coinlake will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
3.2 Legal Compliance
Section titled 3.2 Legal Compliance- Regulatory Adherence: You agree to comply with all applicable local, state, national, and international laws and regulations regarding your use of the Services, including but not limited to those related to data privacy, international communications, and the exportation of technical or personal data.
- Consequences of Non-Compliance: Any use of the Services that violates these legal obligations may result in immediate termination of your account and legal action against you, either by Coinlake or relevant authorities.
3.3 Data Usage
Section titled 3.3 Data Usage- Responsible Use: You acknowledge that you are solely responsible for your use of the data provided through the Services. This responsibility extends to the development, deployment, and consequences of any models, algorithms, or strategies you create or derive from the data.
- Intellectual Property: You must respect the intellectual property rights of Coinlake and any third parties associated with the data. Any unauthorized use of copyrighted or proprietary data is strictly prohibited and may result in the termination of your access to the Services.
- Risk Acknowledgment: You acknowledge that financial and trading decisions based on the data provided by Coinlake are made at your own risk. Coinlake does not take responsibility for losses or damages resulting from such decisions.
3.4 Fair Usage
Section titled 3.4 Fair Usage- Resource Use: You agree not to use the Services in a manner that excessively burdens the Coinlake system or negatively impacts the system performance or use of the Services by others.
- Prohibited Practices: Engaging in data mining, scraping, or similar data gathering or extraction methods from our Services without our prior written permission is prohibited.
3.5 Accuracy of Information
Section titled 3.5 Accuracy of Information- Account Information: You agree to provide accurate, current, and complete information about yourself as may be prompted by any registration forms on the Services (“Registration Data”) and to maintain and promptly update the Registration Data to keep it accurate, current, and complete. You agree that Coinlake may use your Registration Data to provide services that you access or use and as otherwise set forth in these Terms.
Article 4. Payment Terms
Section titled Article 4. Payment Terms4.1 Payment Methods
Section titled 4.1 Payment Methods- Available Payment Options: Payments for Services offered by Coinlake can be made through various payment processors including Stripe and TripleA. Coinlake provides you with the option to make payments in multiple currencies, such as Singapore Dollars (SGD), United States Dollars (USD), or cryptocurrencies, subject to the terms and conditions of the payment processors.
- Payment Processing: You acknowledge that processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms. You agree that Coinlake is not responsible for any errors by the payment processor.
4.2 Credit System
Section titled 4.2 Credit System- Purchasing Credits: Coinlake operates on a credit-based system where credits must be purchased in advance and can then be used to download data as per the current rates specified on the Coinlake platform. The terms regarding the purchase, use, and validity of these credits are governed by these Terms.
- Non-refundable: Credits are non-refundable and non-transferable. Unused credits will expire in accordance with the terms specified by Coinlake at the time of purchase. You are responsible for managing your credits and ensuring their use within the applicable period.
Article 5. Intellectual Property
Section titled Article 5. Intellectual Property5.1 Ownership
Section titled 5.1 Ownership- Proprietary Rights: All intellectual property rights in and to the Services, including but not limited to digital content, data, technology, software, and all other elements provided or utilized by Coinlake, are the exclusive property of Deepmarker Pte Ltd or its licensors. This includes rights under copyright, patent, trademark, trade secret, and any other proprietary rights.
- Protection of Rights: You acknowledge that the Services and any accompanying data are protected by applicable intellectual property laws and international treaties. You agree to not duplicate, distribute, create derivative works of, display, or commercially exploit the Services, directly or indirectly, without prior written consent from Coinlake.
5.2 License Grant
Section titled 5.2 License Grant- Scope of License: Coinlake grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services strictly in accordance with these Terms. This license is granted solely for your personal, non-commercial use.
- Restrictions: Under this license, you are prohibited from modifying, translating, adapting, merging, making derivative works of, disassembling, decompiling, reverse engineering or hacking the Services or any part thereof, or attempting to extract the source code thereof, unless laws prohibit these restrictions or you have our written permission to do so.
- Termination of License: This license terminates automatically if you violate any of these restrictions and may be terminated by Coinlake at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
- Data Integrity: In relation to data sourced from third-party providers like Coinbase, the limitations of liability specifically include changes or removal of data by the provider. Coinlake does not assume responsibility for any losses, inaccuracies, or data integrity issues resulting from such third-party actions.
Article 6. Disclaimers and Limitations of Liability
Section titled Article 6. Disclaimers and Limitations of Liability6.1 Data Integrity
Section titled 6.1 Data Integrity- Accuracy and Completeness: Coinlake makes no representation, warranty, or guarantee as to the reliability, accuracy, timeliness, usefulness, adequacy, completeness, or suitability of the data sourced from external exchanges and data providers. The data provided are intended to be used solely for informational purposes and not as the sole basis for any decision making.
6.2 No Liability for Losses
Section titled 6.2 No Liability for Losses- Limitation of Liability: In no event will Coinlake, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
6.3 Service Availability
Section titled 6.3 Service Availability- Operational Interruptions: Coinlake does not warrant that access to the Services will be uninterrupted or error-free, nor that defects in the Services will be corrected. The Services are provided on an “as is” and “as available” basis. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services without notice or liability.
Article 7. Third-Party Services
Section titled Article 7. Third-Party Services- Integration with Third-Party Services: The Services integrate with various third-party service providers, such as Stripe for payment processing, TripleA for cryptocurrency transactions, and Calendly for scheduling. The use of these third-party services is subject to the terms of service and privacy policies of these providers.
- No Endorsement: Use of these third-party services is at your own risk. Coinlake does not endorse, and hereby disclaims all liability related to the functionality, performance, data handling practices, and any other aspects of third-party services.
- Data Sharing: By using third-party services integrated with Coinlake, you consent to the exchange of information necessary for the facilitation of transactions or services requested by you. Coinlake is not responsible for the privacy or data security practices of third-party service providers.
Article 8. Termination and Suspension
Section titled Article 8. Termination and Suspension8.1 Right to Terminate
Section titled 8.1 Right to Terminate- General Termination: Coinlake reserves the right to terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.
- Immediate Termination: Termination or suspension may be immediate and without notice if you engage in any conduct that Coinlake, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms.
8.2 Effects of Termination
Section titled 8.2 Effects of Termination- Service Access: Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.
- Survival of Terms: All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 8.3 User Data on Termination
- Data Handling: Coinlake may delete or store, at its discretion, data associated with your account after termination. You are advised to save or back up any data that you wish to retain prior to termination.
Article 9. Changes to Terms
Section titled Article 9. Changes to Terms9.1 Right to Modify Terms
Section titled 9.1 Right to Modify Terms- Unilateral Amendments: Coinlake reserves the exclusive right, at its sole discretion, to modify, amend, or replace these Terms at any time. Such modifications may reflect changes in the law, new regulatory requirements, or adjustments to our Services.
- Notification Procedures: We will notify you of any amendments to these Terms by updating the “Effective Date” at the top of this document and, where significant changes are made, by providing additional notice. This notice may be disseminated through various standard communication channels, including, but not limited to, posting on our website, direct emails to users, or through in-service notifications.
9.2 User’s Acceptance of Changes
Section titled 9.2 User’s Acceptance of Changes- Consent to Amended Terms: Your continued use of the Services after any changes to these Terms have been posted will constitute your acknowledgment and consent to the amended Terms. If the modified terms are not acceptable to you, your only recourse is to cease using the Services.
- Binding Effect: By continuing to use the Services following such modifications, you agree to be bound by the revised Terms. It is your responsibility to review these Terms periodically to become aware of any changes.
9.3 Legal Effect of Changes
Section titled 9.3 Legal Effect of Changes- Contractual Nature of Terms: These Terms constitute a legally binding agreement between you and Coinlake once you commence using the Services. Modifications to the Terms alter this agreement just as they would any other legal document.
- Severability and Continuation: Should any change to these Terms be found invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the remainder of the Terms, which will continue in full force and effect. This clause ensures that even if part of the Terms is legally dismissed, the remainder continues to govern your use of the Services.
9.4 Retroactivity
Section titled 9.4 Retroactivity- Non-Retroactive Changes: Any changes to these Terms will not be retroactive. The changes will apply only on a going-forward basis from the date the updated Terms are posted, unless otherwise specified in the notice of the change.
